Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website and the Voyu platform (the “Service”) provided by Voyu, Inc. (“Voyu,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Voyu is an AI-assisted compliance platform that helps organizations build and manage an Information Security Management System for standards such as ISO 27001 and SOC 2. We may update, add, or remove features from time to time.

2. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. When you create an account, you agree to provide accurate information and to keep it current. You are responsible for safeguarding your credentials and for all activity under your account. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or regulation.
  • Access another organization’s data or attempt to bypass the Service’s security or tenancy controls.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, resell, or misuse the Service except as expressly permitted.
  • Upload content that infringes the rights of others or that is unlawful or malicious.

4. AI-generated content

The Service uses AI to generate drafts, suggestions, and other content. These outputs are AI-assisted starting points that require your review and approval before they become active within your ISMS. AI output may contain errors or omissions, is not legal, regulatory, or professional advice, and does not guarantee that you will achieve or maintain ISO 27001, SOC 2, or any other certification, or any particular audit outcome. You are responsible for reviewing, verifying, and approving all content before relying on it.

5. Your data and integrations

You retain ownership of the data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Service, consistent with our Privacy Policy. If you connect third-party systems (such as GitHub, AWS, Microsoft 365, or Google Workspace), you authorize us to access those systems on a read-only basis as described at the time of connection, and you are responsible for the permissions and configurations of your own third-party accounts.

6. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Voyu and its licensors and is protected by intellectual property laws. Except for the rights expressly granted here, we reserve all rights in the Service. If you provide feedback or suggestions, you grant us a non-exclusive, perpetual, royalty-free license to use them without restriction.

7. Fees

Where a paid plan applies, you agree to pay the fees described at the time of purchase. Unless stated otherwise, fees are non-refundable. We may change our fees on reasonable notice.

8. Third-party services

The Service relies on third-party providers and may interoperate with third-party systems you choose to connect. We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them may be subject to their own terms.

9. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet any certification or compliance requirement.

10. Limitation of liability

To the maximum extent permitted by law, Voyu and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim, or, if you have paid nothing, one hundred U.S. dollars (US$100).

11. Indemnification

You agree to indemnify and hold harmless Voyu from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your breach of these Terms.

12. Term and termination

These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably believe it is necessary to protect the Service or other users. On termination, the provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnification) will survive.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to binding arbitration or a small-claims proceeding.

14. Changes to these Terms

We may modify these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
